How to Obtain a Commercial Registration (CR) in Saudi Arabia: A Full Guide for Foreign Businesses

Commercial Registration in Saudi Arabia – The Complete Process

The Commercial Registration, or CR, is issued by the Saudi Ministry of Commerce and acts as the legal license to operate within the Kingdom. Without this registration, foreign businesses cannot conduct activities, hire staff, or open a bank account.

Phase #1: Prepare for CR Application

Before applying for your CR, there are some essential steps that lay the groundwork for your company’s legal presence in Saudi Arabia.

– Choose your legal structure

Foreign investors must determine the most suitable business structure. Common options include:

· Subsidiaries of foreign companies

· Limited liability companies (LLCs)

· Joint ventures

Subsidiaries are often the preferred route for international firms, offering operational control and brand integrity.

– Obtain a MISA License

The Ministry of Investment (MISA) must license your business before CR can be issued. MISA licensing usually takes 5 to 7 working days. Choose from the following categories:

· Services

· Trade

· Industrial

· Professional

· Real estate

· Agriculture

· Mining

· Entrepreneurship

– Reserve your trade name

Every business must reserve a unique name. Recent updates to Saudi Arabia’s Trade Names Law now allow foreign companies to use non-Arabic names and treat names as assignable assets. This provides more flexibility and brand protection.

Phase #2: Apply for Commercial Registration

Once your company is licensed and named, the next phase involves applying for CR via the Ministry of Commerce portal.

– Complete Registration

– Register with the Chamber of Commerce (CoC)

– Register with government ministries

You will need to register with:

· Ministry of Labor

· General Organization for Social Insurance (GOSI)

· General Authority of Zakat and Tax (GAZT)

These registrations ensure that your business complies with employment and tax laws.

– Secure a physical office address

A national address is essential to verify business legitimacy. Your CR will require annual confirmation, which is tied to having a valid physical office address.

– Issue the General Manager’s (GM) Iqama

Every Saudi-registered company must have a GM who resides in the Kingdom. Issuing the Iqama (residency permit) is a legal requirement for company management.

– Open a corporate bank account
